• We advised Standard Bank (London) as arranger for the stock exchange listed, credit enhanced, KShs 4.5 billion bond offering by mobile phone operator Celtel Kenya Limited.



• We acted for CFC Bank Limited on its 1 for 12 rights issue and its Shs 800 million Floating Rate Tier II Note Programme



• We acted for Hilton International on the sale of its interests in Taita Salt Lick Lodge



• We were Kenya counsel for the acquisition by Kingdom Hotel Investments acquisition of the Lonrho Hotels B.V. chain of hotels and lodges in Kenya, on behalf of Fairmont Hotels Inc.



• We advised Commercial Bank of Africa Limited on its purchase of First American Bank of Kenya – Kenya’s largest indigenous bank take-over



• We are advising on all aspects of the establishment of Kenya’s first nationwide ATM network for Pesapoint Limited



• We acted for Paynet Kenya Limited on the development of its financial services software solutions business through licensing, implementation, outsourcing and card handling services for banks



• We advised UAP Provincial Insurance Company Limited on its acquisition of a majority stake in United Assurance Company Limited in Uganda



• We were lead legal advisers on the cross-listing/introduction of East African Breweries Limited on the Dar-es-Salaam Stock Exchange, Tanzania



• We were legal advisers on the PTA Bank medium term note issue listed on the Nairobi Stock Exchange arranged by Standard Chartered Bank



• On behalf of the investors (AKFED, IFC and CDC Group plc) we handled the corporate re-structuring of the hotels and lodges business of Serena Hotels in Tanzania and Zanzibar to bring it under the control of the Kenyan holding company for Tourism Promotion Services Limited, in order to create an East African regional group



• We are advising TPS Eastern Africa Limited (Serena Hotels and Lodges) on its proposed take-over scheme for Tourism Promotion Services Limited including a listing on the Nairobi Stock Exchange by way of introduction for the new holding company.

• Acted for CFC Group Limited in the purchase of the Kenya life assurance business of American Life Insurance Company (Kenya) Limited – believed to be the largest acquisition in the Kenyan financial sector



• We advised Flora & Fauna International on the purchase of Ol Pejeta and Sweetwaters Ranches from Lonrho Africa plc



• We were Kenya counsel for Credit Agricole Indosuez on the disposal of its Kenya branch



• We represented CDC Properties Limited and the local investor on re-financing and investment in a major retail development in Nairobi



• Advised Barclays Bank of Kenya Limited in connection with proposed listed bond issues in Tanzania and Kenya



• Advised Kenya Airways Limited on its cross-listing/introduction on the Dar-es-Salaam Stock Exchange, Tanzania

• We advised Canadian Overseas Packaging Corp. on the take-over of East African Packaging Limited and its de-listing from the Nairobi Stock Exchange



• We acted for Aureos East Africa Fund and the sponsor on the acquisition of a majority interest in Safepak Limited



• We acted for Xerox Limited on the disposal of its interests in Kenya and advised on Xerox’s new distributorship arrangements for Kenya



• We acted for Magadi Soda Limited on the Magadi Pure Soda Ash Expansion Project. Project loan finance from IFC, EIB and FMO totalling US$55 million



• Acted for the lenders on re-scheduling of long term debt of Pan-African Paper Mills (EA) Limited



• We advised IFC and DEG on the rights issue made by Industrial Promotion Services Kenya Limited



• We advised on the joint venture between Chandaria Group, Carlton Products and Acacia Fund for food products in Kenya , Nigeria and Russia.

• We were Kenya counsel for Citibank on the acquisition of the Kenya banking business of ABN-AMRO Bank



• We advised East African Breweries on the cross-border acquisitions, shareholder agreements and licensing arrangements between East African Breweries/Diageo plc and SABMiller Africa covering Kenya and Tanzania
