Caroline qualified as a Kenyan Advocate in 2007 and is a Commissioner of Oaths and Notary Public.  She is a Partner at Kaplan & Stratton Advocates specialising in property acquisition, disposal and development, property finance and loan securities, stamp duty planning, energy projects, general regulatory compliance, retirement benefits, due diligence and forensics and general private work.

EXPERIENCE

  • Advising Alten Energias Renovables in its development of a photovoltaic cell solar power plant in Kenya with an installed capacity of 40MW. The project is one of the largest solar power projects in Kenya and East Africa.
  • Advising the Overseas Private Investment Corporation (OPIC) in its 100MW Kipeto power generation project estimated at approximately USD 232 million. This is the second largest wind energy project in Kenya.
  • Advising European Investment Bank, FMO, the Bank of New York Mellon, Adili Trustees Limited and BNY Mellon Corporate Trustee Services Limited in their investment into the 40MW Radiant Solar PV Project.
  • Advised the Syngenta Foundation for Sustainable Agriculture in relation to theirs et-up East Africa’s first agriculture index based insurance surveying business.
  • Acted for one of the world’s leading providers of air freight, ocean freight, and logistics services in the acquisition of the assets of a local flower and horticulture export company at an estimated value of USD 7 million – Due diligence and forensics, transactional documents.
  • Acted for a South African corporate entity with a local presence in Kenya in the disposal of its assets in Kenya valued at approximately USD 22.5 million – preparation of transaction structural advice, transactional documents.
  • Acted for the Virgin Group Edition in the acquisition of property by way of long leases in the Maasai Mara for the establishment of a conservancy, luxury lodge, set up of the management company including corporate restructuring.
  • Acted for I&M Bank Limited in its restructuring and reorganization of assets – preparation of transactional documents registration of title documents.
  • Acted for CFC Stanbic Bank Limited in the re-branding to Stanbic Bank Limited – preparation of transaction documents.
  • Solio Ranch – Disposal of sub-divided parcels, general advice, transactional documents.
  • Acted for The Safaricom Staff Pension Scheme – Acquisition of a property for beneficiaries involving substantial due diligence.
  • Acted for a prospective investor in the proposed subscription of newly issued shares in Kenya Women Finance Trust Deposit Taking Microfinance Limited (“KWFT”), involving extensive due diligence and forensics.
  • Acted for L’Oreal SA (the world’s largest beauty products manufacturer) – Multi-billion Shilling acquisition of Inter-Consumer Products Limited’s health and beauty business.  Full property diligence.
  • Acted for Puma Energy in the proposed acquisition (now abortive) of Kenya listed company KenolKobil involving substantial due diligence and full takeover compliance.
  • Acted for Telkom Kenya Limited in the sale of various properties by way of tender – Property due diligence and preparation of sale agreements and various transaction documents.
  • Acted for IBRD and IFC (World Bank) in the acquisition of the Nairobi Office Headquarters, property due diligence and transaction documents.
  • Acted for HassConsult, one of Kenya’s leading real estate agents and developers in the development and sale of The Watermark, a state of the art commercial development in Karen.
  • Acted for Africa Reit Limited in the development of residential flats and apartments – Project structuring and transaction documents for developments of high class residential Apartments in Nairobi for sale by way of long term leases.
