Immanuel is an Associate in the Corporate Commercial Department with a broad range of expertise in transaction advisory and corporate law. He has acted in Kenyan and cross-border mandates and has extensive experience in various corporate and commercial matters, including structuring, negotiation, documentation and closing of mergers and acquisitions, private equity transactions, joint venture arrangements, share and asset sales, corporate restructurings, regulatory compliance and corporate advisory work

  • Conducting and advising on an in-depth and comprehensive legal and documentation audit in respect of the assets and operations of listed companies.
  • Advising the Standard Bank of South Africa Limited in the proposed investment in Copia Global Inc., the holding company of Copia Kenya Limited.
  • Euroswiss Investments Limited in the conversion of debt to equity in NBP Holdings Limited andBrenthouse Limited.

  • Britam Holdings Plc (a listed holding company for a leading insurance group) on a KES 1 billion unsecured subordinated Tier II loan to HFC Limited.
  • Advising NIC Bank in the merger of Commercial Bank of Africa and NIC Group to form NCBA Group Plc.
  • Negotiating competition clearance for several M&A matters including preparation of merger filings to the Competition Authority of Kenya and the COMESA Competition Commission.
